About the Firm

The majority of my clients are business owners, licensed professionals, and entrepreneurs. Most of these clients are in search of business entity formation and small business advising. The new margin tax implemented by the state has forced business entities to either restructure their entity or develop new financial management programs to meet the increased financial liability realized by the new margin tax.

New Approaches to Financial Management

For most business owners, this increased liability has meant a new approach to financial management, for others the increased liability has created a financial burden forcing business entities to look to alternative mechanisms for paying the tax. At the very least, it has brought to the forefront the need for a different financial management program. This added tax liability comes after a wave of increased insurance costs which forced some business entities to offset this burden with self-insurance programs, and offer employees alternative benefits packages.

Corporate Planning

The increased pressure to business owners by employees for retirement benefits has created a wonderful opportunity for expansion in my practice, and allowed for the expanded alliance with securities and financial firms that work with me to create tax exempt programs for employers and well as employees. Even with the significant changes to the statutory law governing entity formation and the new margin tax, business owners and professionals are still seeking more formal entity construction than just operating as a sole proprietor. The protections afforded by formal entity construction and documentation, still remain of paramount importance and continue to overshadow the inception of a business as a sole proprietorship. Tax planning strategies to minimize tax liability, retirement planning and investment programs that defer the tax liability until a later date when the liability will be substantially reduced are important considerations, and to today’s financially minded business owner, these considerations are paramount to maintaining an increased profit margin.

Personal Financial Planning

While my practice caters to businesses from a wide spectrum of industries, it still attracts individuals and consistently maintain a market share requesting legal services in the areas of estate planning, family law, entertainment law and securities law. Most family law cases are referred to attorneys affiliated with my practice. The changes in the financial markets, and real estate industry, both residential and commercial sectors, have increased the scope of representation in these industries. Changes to both new and existing residential construction and remodeling have heightened the awareness of compliance by contractors and owners alike. The loss of investment income in the aftermath of the market crash in 2001, caused concern among individual investors, voiced mostly in the areas of portfolio and investment strategy decisions. My expertise in investment strategy and portfolio management has attracted clients and increased the number of cases in the securities law arena. Lastly, changes in the tax code and marital deduction have made estate planning easier and more affordable, not to mention minimizing the burden and in some cases the necessity of probate.

Our Explosive Growth

In the last fiscal quarter of 2000, I relocated my practice to the Stone Oak area, in anticipation of the expansive commercial and residential growth. Over the last six years, the opportunities for new and existing businesses industries have been explosive. Eventually, these growth opportunities while profitable will eventually see a decline. Maintaining a strong financial position, requires both financial and legal planning to meet the economic challenges of the future.
